Welcome to ZIVFY. By accessing our website and initiating a purchase or inquiry, the Customer (“you”) agrees to be bound by the following professional terms and conditions.

1. Color Accuracy and Technical Standards

  • 1.1 Industry Standards: ZIVFY utilizes high-grade Standard Commercial CMYK Printing processes. The Customer acknowledges that on-screen representations (RGB) and physical print (CMYK) utilize different color spectrums. A visual variance within 10% is considered an acceptable industry tolerance.

  • 1.2 Premium Spot Color Matching: Should the Customer require absolute color precision, a formal request for Pantone Matching System (PMS) services must be initiated during the quotation phase.

  • 1.3 Default Acceptance: In the absence of a specific PMS request, the Customer accepts standard commercial color variances across different substrates and production batches.

2. Proofing and Production Authorization

  • 2.1 Final Digital Proof: The Customer assumes full legal responsibility for the final review of the Digital Proof, including typography, grammar, image resolution, and layout.

  • 2.2 Irrevocability: Once formal approval is provided, the order enters an automated production queue. ZIVFY shall not be liable for any errors present in Customer-approved files. No reprints or refunds will be issued for errors overlooked during proofing.

  • 2.3 Delays: Production lead time commences only upon written approval of the Digital Proof. ZIVFY is not responsible for shipping delays resulting from a Customer’s failure to approve proofs in a timely manner.

3. Physical Tolerances and Quantity Variance

  • 3.1 Cutting Tolerance: Due to the mechanical nature of bespoke finishing, a physical cutting tolerance of ±1mm is applicable to all customized products.

  • 3.2 Quantity Fluctuation: For bulk manufacturing, a production variance of ±5% is standard. In the event of a shortfall, ZIVFY will issue a pro-rata refund for the missing units. Such variance does not entitle the Customer to a full press re-run.

4. Cancellations and Returns (Bespoke Policy)

  • 4.1 No Returns on Custom Goods: As all products are manufactured to the Customer’s unique specifications (Bespoke), returns or exchanges are not accepted unless the product is proven to be functionally defective or significantly deviates from the approved proof.

  • 4.2 Cancellation: Orders may only be cancelled prior to the approval of the digital proof. Once production has commenced (plates made or materials cut), the full contract price remains due.

5. Shipping and International Trade

  • 5.1 Delivery Risk: Risk of loss passes to the Customer upon delivery of the goods to the carrier (DHL/FedEx/UPS). ZIVFY is not responsible for delays or damage caused by customs inspections or carrier mishandling.

  • 5.2 Duties and Taxes: All import duties, VAT, and local taxes are the sole responsibility of the Customer. Refusal to pay customs fees resulting in a returned shipment will not entitle the Customer to a refund.

6. Intellectual Property and Indemnification

  • 6.1 Content Warranty: The Customer warrants that all artwork and trademarks provided are either owned by the Customer or used with valid legal authorization.

  • 6.2 Indemnification: The Customer agrees to indemnify ZIVFY against any legal claims or expenses arising from the infringement of third-party intellectual property rights contained within the Customer’s materials.

7. Force Majeure

  • ZIVFY shall not be liable for any failure to perform its obligations where such failure results from any cause beyond ZIVFY’s reasonable control, including, but not limited to, strikes, pandemics, natural disasters, or global supply chain disruptions.

8. Limitation of Liability

  • 8.1 Maximum Liability: ZIVFY’s total liability for any claim shall not exceed the total amount actually paid by the Customer for the specific order.

  • 8.2 Indirect Loss: ZIVFY shall not be held liable for consequential or incidental damages, including loss of business or profits.

9. Governing Law and Jurisdiction

  • Any disputes shall first be resolved through amicable negotiation. Failing settlement, any legal action shall be exclusively governed by the laws of P.R. China, and both parties submit to the exclusive jurisdiction of the courts therein.
